1Clearances and classified work

  1. Which group companies hold facility security clearances, and which contracts depend on them?

Clearances sit with the entity, not the group. A change in ownership or debt can change the terms on which the business keeps them.

eCFR: 32 CFR 117.11 (foreign ownership, control or influence)

Key term: Security and classified work

  2. Will the deal bring the business under foreign ownership, control or influence, and what mitigation will the security agency require?

A proxy agreement, special security agreement or board resolution may be needed before closing, and failure to agree one can lead to a CFIUS referral.

eCFR: 32 CFR 117.11 (foreign ownership, control or influence)

  3. Which contracts involve classified information, and what security requirements do their documents set?

Classified requirements limit what can be disclosed in diligence and who can buy the business.

EUR-Lex: Directive 2009/81/EC (defence and security procurement)
